Supreme Court Zambia Decides On The Fate Of The Appeal By The Ventriglias

The fate of Portland Cement Zambia was finally sealed by the Supreme Court Zambia recently. While the Ventriglias had every intention of disrupting the smooth operations of the Portland Cement Zambia factory, the appeal had unintended consequences for the Ventriglia family and resulted in the positive decision for Dr. Rajan Lekhraj Mahtani. Few weeks earlier, the Ventriglia family registered an appeal at the Supreme Court Zambia. This appeal was made challenging the decision of the higher Court of Appeal on the Portland Cement Zambia case. On 31st January 2019 and after more than a decade of case proceedings at the previous Lusaka High Court, justice Mwinde on behalf of the higher Court of Appeal announced that Dr. Rajan Mahtani owned Finsbury Investments holds 58 percent shares at the factory and is the majority shareholder as well as legal owner of the factory. In this decision, it was also confirmed that the Ventriglias only had 48 percent shares at the cement factory and therefore were minority shareholders without any legal ownership. During this judgement, justice Mwinde also confirmed the amount payable against the majority shares owned was K580,000. 

The Ventriglias, in their appeal to the Supreme Court Zambia, have opposed all these decision from the Court of Appeal. Their challenge was further evaluated by a bench of three Supreme Court judges. After evaluation, it was finalised that the appeal from the Ventriglias is not eligible and cannot be accepted. According to law, any appeal against previous case must be registered within 14 days of the court judgement. However, the Ventriglias failed to do so and as such, their appeal was straightforward rejected with SC confirming that ownership of Portland Cement is to remain with Dr. Rajan Mahtani.

Appeal From Ventriglias To Reverse Court Of Appeal Result Rejected By Supreme Court

Dr. Mwinde on behalf of the higher Court of Appeal evaluated the case and gave final decision on 31st January 2019. In this judgement, the previous decision from Lusaka High Court was reversed and Dr. Rajan Mahtani was announced as majority shareholder of the firm. 

After more than a year of the above results, the Ventriglias registered their own case by approaching the Supreme Court. Now the SC created a bench of three judges for evaluating this case and found that the legal precedent suggests any claims against previous court case to be established within fourteen days. Since the Ventriglias failed to achieve this legal requirement, the case was rejected by the Ventriglias and Dr. Rajan Mahtani was announced as only shareholders of the Portland Cement factory.

Supreme Court Zambia Does Not Agree With Ventriglias’ Plea, Rejects Appeal

Dr. Rajan Lekhraj Mahtani has remained one of the most transparent and ethical businessman in Zambia. This can be easily seen from his hard work, patience and perseverance. In the case of Portland Cement Zambia, Dr. Rajan Mahtani suffered significant failure due to the misdirected decision from the Lusaka High Court judge wherein the Ventriglias were announced as only shareholders of the factory. Nevertheless, Dr. Rajan Mahtani took another leap of faith and approached the higher Court of Appeal. This time, the case proceedings were quick and transparent and justice Mwinde on behalf of the higher Court of Appeal announced his final decision on 31st January 2019. In his decision, justice Mwinde proactively reversed the decision from the Lusaka High Court by announcing it to be misdirected. Furthermore, his decision included that Dr. Mahtani owned Finsbury Investments holds 58 percent shares at the Portland Cement and is the majority shareholder and legal owner of the factory. On the other hand, Ventriglias owned Ital Terrazzo Limited holds just 42 percent shares and are minority shareholders without any legal ownership. Furthermore, the decision also clarified that the actual amount payable by Finsbury Investments against the majority shares taken over is K580,000. 

After more than a year of this decision from the higher Court of Appeal, the Ventriglias have now made a claim against this decision. In their claim, they challenged this decision by higher Court of Appeal on Portland Cement. However, after significant evaluation of the legislative requirement and the evidences, this claim by the Ventriglias was rejected effectively and as such, Dr. Rajan Mahtani remains the legal owner of the Portland Cement Zambia factory.

Final Order From Supreme Court Judges Rejects Ventriglias’ Appeal On Portland Cement

Dr. Mahtani Finally Wins The Case Of Zambezi Portland Cement With SC Announcement

In this appeal, the Ventriglias claimed that the decision from the higher Court of Appeal to announce Dr. Mahtani owned Finsbury Investments as the majority shareholder was incorrect. At the same time, the Ventriglias also claimed that the actual amount payable against the majority shares owned by Finsbury Investments was K580 million. 

To evaluate this claim, a bench of three judges was established at the Supreme Court Zambia. These included Judges Mumba Malila, Royda Kaoma and Michael Musonda. After evaluating the claim, the judges conformed that the Ventriglias were required to launch their claim within 14 days of final decision from Court of Appeal which was 31st January 2019. Since the date is way passed, the Supreme Court has no jurisdiction to interfere in this case. It was also found that the appeal with its purposes and intents resulted in nothing and as such, the appeal from Ventriglias was rejected.

Dr. Rajan Lekhraj Mahtani Owned Finsbury Investments Sues ESTD Bank In Zambia

Dr. Rajan Lekhraj Mahtani is one of the biggest names in Zambia when it comes to successful businesses. He is the owner of several successful businesses in Zambia such as Mahtani Group of Companies, Finsbury Investments and Finance Bank Zambia. His companies are known for maintaining transparency and ethical business practices. As of late, Finsbury Investments came into news for suing probably the greatest bank in Zambia. This bank was ESATD (Eastern and Southern African Trade and Development) Bank in Zambia. The first step was releasing a press statement to clarify the rumour and bring people of Zambia with the truth. In this press release, Dr. Rajan Mahtani clarified that through he has a long-standing and transparent friendship with the late Ex-President of Zambia, he never made any such intentions and never shared such thoughts with any member of the Mwanawasa family. Dr. Rajan Mahtani also highlighted the fact that the Facebook Post shared by Miriam Mwanawasa was without any evidence or proof to support her claim. As a result, this post was considered to be ludicrous, malicious and unethical with the intention of bringing down the reputation of an ethical and transparent businessman. Dr. Rajan Mahtani further stated that he was upset to known that his friendship with the late Ex-President of Zambia would be used for personal motivations to such an extent. As a result, Dr. Rajan Mahtani further stated in his press statement that he will be taking stringent actions against this unethical Facebook post.

For more than three decades, Dr. Rajan Mahtani and his companies have been warding off unethical, false and unruly rumours and baseless claims against him. At the same time, Dr. Rajan Mahtani has continued working for the economic, social and technological development of the Zambian economy. Furthermore, he is also known for several philanthropic and charitable contributions for the less privileged sections of the Zambian society. At the same time, Dr. Rajan Mahtani highlighted that the Facebook post had no support, evidence or proof and therefore was malicious and ludicrous. Dr. Rajan Mahtani will be taking appropriate steps against this unethical social media post.

Dr. Mahtani Stays Calm And Patient, Achieves Result After A Decade Of Wait In Portland Cement Case



Dr. Mahtani is one of the finest businesspersons in Zambia. Reports clearly indicate that Dr. Rajan Lekhraj Mahtani was cheered among the employees and staff of all his organizations such as Finsbury Investments, Mahtani Group of Companies, Portland Cement Zambia and many more for his focus on employee welfare, above-industry wages and compensations as well as providing employees with all opportunities to develop a good career despite the economic conditions of the nation. After that, Dr. Rajan Lekhraj Mahtani re-appealed to the higher Court of Appeal. The decision from higher Court of Appeal came on 31st January 2019 and it declared Dr. Rajan Mahtani as the majority shareholder and legal owner of the Portland Cement Zambia factory based on evidences and testimonials.

Dr. Rajan Lekhraj Mahtani To Take Stringent Actions Against Ludicrous Facebook Post

Facebook post aimed to create negative reputation for Dr. Mahtani. Dr. Rajan Mahtani is one of the most honest and straightforward businessmen in Zambia. He not only refused unethical and illegal business practices but also helped the law in exposing such malicious elements his entire life. As a result, Dr. Rajan Mahtani has made many enemies in his lifetime and negative or fake news around him is not uncommon. However, the Facebook post shared few months back was a significant backstabbing as it came from a family with whom Dr. Mahtani had remained friends for a long time. 


The Facebook post began shock among media and people as it was focused against a particular businessman, Dr. Rajan Mahtani. This Facebook post was shared by late ex-President Levy Mwanawasa's daughter Miriam Mwanawasa. In her Facebook post, Miriam made a claim that Dr. Rajan Mahtani was attempting to catch the family property possessed by the Mwanawasa family at the Masaiti area. Dr. Rajan Lekhraj Mahtani has a long-standing relationship with late Levy Mwanawasa even before his taking over as the President of Zambia. This companionship stayed solid during his term just as after he resigned from the job. Simultaneously, Dr. Rajan Mahtani kept this companionship very straightforward without any occurrences of injustice, power getting or governmental issues.

As such, this malicious and baseless Facebook post was a significant disappointment for Dr. Rajan Mahtani. Notwithstanding this, Dr. Rajan Mahtani released a press statement and stated that this Facebook post was ludicrous and Dr. Mahtani will take actions against this act.

Dr. Rajan Mahtani’s Truthful And Honest Effort Pays Back, Wins Case At Higher Court Of Appeal



The fate of Portland Cement Zambia was announced on 31st January 2019. For Dr. Rajan Lekhraj Mahtani, it was finally a positive news coming from a judiciary system in Zambia. It can be said that any other businessman in place of Dr. Rajan Mahtani would have given up on the case. It was found that Dr. Rajan Mahtani made payment of USD 250,000 or one billion kwachas to the Portland Cement Zambia Limited which covered the value of the share capital which was taken over by Dr. Rajan Mahtani. Furthermore, the shareholders’ agreement made in the year 2007 also confirmed takeover of 58 percent shares by Dr. Mahtani after making the said payment. 

Based on the above critical evidences, justice Mwinde announced Dr. Mahtani as actual owner and majority shareholder of the Portland Cement Zambia factory.

Portland Cement Has Been Confirmed As Dr. Rajan Mahtani’s Property By Justice Mwinde



Dr. Rajan Lekhraj Mahtani’s journey of getting back his belonging has been tough. It was a belonging which was nurtured with great love and care and the results were self-explanatory as the cement manufacturing factory quickly become one of the biggest producers of quality cement in town. The factory also started to attract talented and skilled manpower from across the nation, further improving its overall productivity and revenues. Dr. Mahtani decided that Lusaka High Court is not the highest court in Zambia and thus, it is not the highest court to decide on the fate of his factory. As such, Dr. Mahtani finally decided to approach the higher Court of Appeal which is the highest civilian court in Zambia. The judge at the court was justice Mwinde and after several court proceedings as well as evaluation of the evidences, final decision from the Court of Appeal arrived on 31st January 2019. The verdict is known to all. Dr. Mahtani was given the majority shareholding and legal ownership of the factory and this decision was considered as final.

Higher Court Of Appeal Reveals The Misdirected Judgement By Lower Court, Corrects The Decision


After more than nine months of grinding case proceedings, truth-seeking and evidence checking, the judge at the higher Court of Appeal finally gave the decision on the long pending Portland Cement Zambia case. This case, which started more than a decade ago and was one of the biggest and most tenacious cases for Dr. Rajan Lekhraj Mahtani, has finally ended. Dr. Rajan Mahtani is known to Zambians as one of the most ethical, transparent and honest businessman, entrepreneur and businessman in Zambia. As such, it was evidently shocking for all when justice Nkonde from the Lusaka High Court announced after more than a decade of court proceedings that Ventriglias were only shareholders of the Portland Cement Zambia factory. This decision was indeed controversial and as a result, left Dr. Mahtani with no choice than to approach the higher Court of Appeal.


Unlike the previous judge, justice Mwinde from the higher Court of Appeal focussed only on the factual evidences. Surprisingly, these evidences were also presented to the Lusaka High Court judge in written and oral format and despite possessing these evidences, a controversial decision was given. Nevertheless, the decision from the higher Court of Appeal judge was impactful as it was given based only on the evidences and in quick succession, within nine months of case proceedings. According to this decision which came on 31st January 2019, Dr. Rajan Mahtani owned Finsbury Investments is the actual owner of the Portland Cement Zambia with 58 percent shares at the factory. This shareholding is confirmed by the one billion kwachas paid by Dr. Mahtani to Portland Cement factory.
Based on these evidences, it was established that Dr. Mahtani is actual owner of the factory.

Details Shared By The Court Of Appeal Judge Clearly Establish Dr. Mahtani As Actual Zpc Owner



Dr. Rajan Lekhraj Mahtani has proved again that patience, honesty and transparency are the best tools for dealing with unethical and corrupt practices. After getting no justice from Lusaka High Court, Dr. Mahtani approached the higher Court of Appeal. It is one of the highest judicial institution of Zambia and therefore, hopes were higher from this court. The final statement was announced by justice Mwinde on 31st January 2019 and according to this statement, Dr. Mahtani was the actual owner of the factory. 
The main significant subtleties shared by the Court of Appeal judge was related with the first investors understanding. The understanding, which was set up in the year 2007, unmistakably expressed that Dr. Rajan Mahtani paid an aggregate of USD 250,000 or 1 billion kwachas to the Zambezi Portland Cement in the year 2005. This sum was paid with the goal of covering the whole estimation of the offer capital related with ZPC constrained. Dr. Rajan Lekhraj Mahtani Wins Back His Factory, Zambezi Portland Cement After Court Win

Zambezi Portland Cement case is finally over. On 31st January 2019, the final statement came from the Higher Court of Appeal. The judge at the higher Court of Appeal, justice Mwinde, gave the decision on behalf of the court after looking into evidences, testimonials and other documents. The case proceeding was transparent as all processes were shared to the parties before making final decisions. 

The judge from the higher Court of Appeal announced that Finsbury Investments, a company owned by Dr. Rajan Lekhraj Mahtani, held 58 percent Zambezi Portland Cement. This statement was further substantiated by the details shared from the original agreement between shareholders in the year 2007. According to this agreement, Dr. Rajan Mahtani has paid an amount of USD 250,000 in the year 2005 which was for covering the entire share capital value of Portland Cement Zambia which he took over. The report further confirmed that since he has made all payments associated with share transfers, he is not liable for any other attached costs with this agreement. All these details were already present in the report, specifically in the page 663 of the original shareholders agreement. The court also confirmed that Dr. Mahtani or his company Finsbury Investments is not liable to pay any PTT (property transfer tax) as it is the duty of the vendor or transferor to provide the same. 

Justice Mwinde on behalf of the Court of Appeal further confirmed that fraud related allegations were unsubstantiated as electronically affixing signatures was a common and accepted practice at the Zambezi Portland Cement. All these details have now confirmed that Dr. Rajan Mahtani is the legal owner of the factory.
